QREasy Affiliate Program Agreement

This QREasy Affiliate Program Agreement ("Agreement") is between IllumiNode LLC, 16192 Coastal Highway, Lewes, Delaware 19958, USA ("QREasy", "we", "us") and the individual or entity whose application QREasy accepts ("Affiliate", "you"). By accepting this Agreement, you confirm that you have authority to enter it and will comply with it.

1. Scope, eligibility, and approval

The Program permits approved Affiliates in countries expressly supported by QREasy to promote QREasy using assigned referral links. Approval is discretionary, may be refused without creating any entitlement, and is separate from Stripe identity and payout onboarding. You must provide accurate application information, keep your account secure, be legally able to contract, and promptly update material changes. Participation does not require a paid QREasy subscription.

You are an independent contractor. Nothing creates employment, agency, partnership, joint venture, franchise, fiduciary duty, or authority to bind QREasy. You bear your own costs, taxes, registrations, licences, insurance, staff, and professional advice.

2. Referral links and attribution

Use only links and campaign materials supplied or approved by QREasy. The default attribution period is 60 days. The last eligible Affiliate referral in that period wins. Direct visits do not erase a valid attribution. A later eligible Affiliate click may replace an earlier click before attribution locks. Attribution locks at verified registration for a new user or immediately before an eligible first checkout for an existing free user. Once locked, ordinary later clicks do not replace it.

Existing paying customers, retroactive referrals, self-referrals, related-party transactions, employees, controlled companies, circular referrals, and transactions reasonably suspected of manipulation are ineligible or may be held for review. QREasy may use privacy-compliant fraud indicators. A click, registration, trial, or unpaid invoice alone does not create commission.

3. Qualifying customers and payments

A qualifying customer is a validly attributed customer who was not already a paying QREasy customer, completes an eligible subscription purchase, and makes a successful qualifying payment. Failed, voided, zero-value, fully discounted, credited, fraudulent, refunded, disputed, chargeback, ineligible-plan, or out-of-window amounts are excluded to the affected extent.

Unless a campaign snapshot says otherwise, Commissionable Revenue is eligible subscription revenue actually collected after discounts, excluding VAT and other sales taxes, and reduced by refunds, credits, disputes, chargebacks, reversals, and adjustments. Catalogue prices, tax-inclusive totals, and unpaid amounts are not Commissionable Revenue. Stripe and Connect fees are QREasy's expense and are not deducted under this version.

4. Commission

The default rate is 25% (2,500 basis points) of Commissionable Revenue. Integer minor currency units are used and commission is rounded half up. The rate, calculation definition, earning duration, reserve, customer offer, currency, and applicable terms are snapshotted when attribution locks and are applied prospectively.

The default earning period is 12 calendar months beginning with the first successful paid subscription invoice. The period is half-open: a renewal at the exact 12-month boundary is not commissionable unless a campaign expressly provides otherwise. Annual and monthly subscriptions may have different customer offers. Discounts do not increase commission; commission is calculated from the discounted tax-exclusive amount actually collected.

5. Discounts and campaigns

Campaign terms, eligible plans, intervals, countries, dates, and offers may vary. The launch monthly offer is 50% off the first three paid monthly billing periods. The launch annual offer is an additional 30% off the first annual invoice after the standard annual price saving. The existing trial remains separate. Offers cannot be combined with another coupon or promotion code. Switching intervals after a paid invoice does not grant a second introductory offer.

6. Reserve, threshold, transfers, and payouts

Commissions are pending during the default 30-day reserve. Eligible mature balances are considered monthly. The default minimum transfer is EUR 50; smaller balances roll forward. QREasy transfers eligible amounts to the Affiliate's Stripe Connect Express account. Stripe then pays the connected account according to its payout schedule. A QREasy transfer and a bank payout are different events.

QREasy may delay or hold amounts for refunds, disputes, fraud review, legal requirements, incomplete Stripe requirements, sanctions screening, negative balances, or operational reconciliation. Stripe and banking systems control some timing. Earnings and payment dates are not guaranteed.

You must complete Stripe-hosted onboarding and keep payout information current. Stripe is not a party to this Agreement. QREasy does not store raw bank details or identity documents. Failed transfers or payouts roll forward or are retried where appropriate. You are responsible for taxes, VAT, invoicing, tax identification, reporting, and professional advice. QREasy may request lawful tax documentation or apply withholding where required.

7. Reversals and negative balances

Refunds, credits, disputes, chargebacks, and other reversals reduce pending commission. If commission was already transferred or paid, QREasy creates a visible negative adjustment and may carry it forward. Where permitted, QREasy may reverse a transfer. Legitimate commission already earned is not retroactively reduced merely because a default future rate changes; invalid or fraudulent commission may be cancelled or recovered.

8. Disclosures and marketing compliance

Every promotion must clearly and prominently disclose the commercial relationship near the Affiliate link. A suitable example is: "This is an affiliate link. I may earn a commission if you subscribe, at no additional cost to you." You must follow advertising, consumer-protection, endorsement, privacy, cookie, direct-marketing, platform, and anti-spam laws in every target country.

You may not use cookie stuffing, forced redirects, adware, browser extensions, invisible tracking, fake reviews, fabricated earnings, impersonation, misleading scarcity, inaccurate pricing, hidden disclosures, unsolicited bulk messaging, trademark bidding prohibited by QREasy, confusing domains or social handles, deceptive coupons, or claims that you are QREasy. Coupon and deal sites require written approval.

9. Brand and intellectual property

During approval, QREasy grants a limited, revocable, non-exclusive, non-transferable licence to use approved QREasy marks solely for compliant Program promotion. Do not modify marks, register confusing identifiers, imply endorsement, or create unapproved assets. Product, feature, price, discount, and availability statements must be accurate and current.

10. Privacy, confidentiality, and monitoring

Use personal data only as lawfully permitted, provide required notices, obtain consent where required, secure information, and promptly report incidents. You do not receive referred-customer identities or billing information. QREasy may monitor links, promotions, fraud indicators, acceptance evidence, and Program activity. Confidential non-public information must be protected and used only for the Program.

11. Suspension and termination

Either party may terminate participation. QREasy may suspend, hold, or terminate immediately for breach, risk, fraud, legal requirements, inactivity, reputational harm, or Program closure. After termination, valid mature commissions remain payable subject to reserve, threshold, adjustments, law, and this Agreement. Pending amounts may remain reserved. Fraudulent or invalid amounts are cancelled. Links and brand use must stop.

12. Changes

QREasy may change prospective Program rules, campaigns, rates, countries, or availability with appropriate notice. Material changes may require renewed acceptance. Snapshotted legitimate economics and earned commission are not rewritten solely because a default changes. Continued participation after an effective change constitutes acceptance where lawful.

13. Warranties, liability, and indemnity

The Program is provided "as is" and may change or be unavailable. To the fullest extent permitted by law, QREasy disclaims implied warranties and is not liable for indirect, incidental, special, punitive, or consequential loss, lost profits, data, goodwill, or expected earnings. QREasy's aggregate liability arising from the Program will not exceed commissions paid or payable to you during the six months before the event giving rise to the claim, except where a limitation is prohibited.

You will indemnify QREasy and its personnel against third-party claims, losses, and reasonable costs resulting from your unlawful promotion, breach, negligence, infringement, privacy violation, or unauthorised representation, subject to applicable law.

14. General

Neither party is liable for delay caused by events beyond reasonable control. You may not assign this Agreement without written consent; QREasy may assign it with its business or Program. Invalid provisions are severed, delay is not waiver, and this Agreement plus incorporated campaign terms and guides is the entire agreement. Notices to QREasy must be sent through the published contact channel and to IllumiNode LLC, 16192 Coastal Highway, Lewes, Delaware 19958, USA. Electronic notices and acceptances are valid.

This Agreement is governed by Delaware law, excluding conflict rules. Subject to mandatory consumer or local law, the state and federal courts located in Delaware have exclusive jurisdiction. English controls; translations are provided for convenience.
